Terms of Service

    PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING BUILDMIND. BY DOWNLOADING, INSTALLING, OR USING THE BUILDMIND APPLICATION, OR BY REGISTERING FOR OR PURCHASING A SUBSCRIPTION THROUGH OUR WEB PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

    1. Agreement and Parties

    These Terms of Service ("Terms") constitute a legally binding agreement between BuildMind Canada Technologies Ltd. ("BuildMind," "we," "us," or "our"), a company registered in Richmond, Province of British Columbia, Canada, and you ("User," "you," or "your").

    These Terms govern all access to and use of the BuildMind mobile application (the "App"), web application at buildmind360.ai (the "Web Platform"), APIs, and related services (collectively, the "Services").

    The Services are designed for professional use in the construction and real estate development industries. By using the Services, you represent and warrant that you are a professional working in the construction industry or a related field, and that you are at least 18 years of age.

    1.1 The BuildMind App (Free, No In-App Payment)

    The BuildMind iOS application is provided free of charge. The current version of the App does not contain, and is not required to contain, any of the following:

    • Payment card entry fields
    • Subscription purchase, upgrade, or pricing displays
    • Buttons or links directing you to purchase anything

    You do not need to enter any payment information to download, install, or use the App.

    1.2 Web Subscriptions (Paid)

    Paid subscription plans are offered separately through the Web Platform at buildmind360.ai. Subscriptions, billing, cancellation, and refunds are governed by Section 8 (Subscriptions, Fees and Payment). Subscriptions are processed by our third-party payment processor and are not sold or processed through the App.

    2. Eligibility

    The Services are designed for professional use in the construction and real estate development industries. By accessing or using the Services, you represent and warrant that:

    • You are at least 18 years of age.
    • You are using the Services for professional purposes related to construction, real estate development, or a related field.
    • Your use of the Services complies with all applicable laws and regulations.
    • You have the legal capacity to enter into these Terms.

    BuildMind reserves the right to refuse access to the Services to any person at its sole discretion.

    3. Account Registration and Security

    3.1 Account Creation

    To use the Services, you must create an account by providing accurate and complete information including your name, email address, and a secure password. You agree to maintain and promptly update your account information to keep it accurate and current.

    3.2 Account Security

    You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

    • Use a strong, unique password for your BuildMind account
    • Not share your account credentials with any third party
    • Notify us immediately at info@buildmind360.ai if you suspect unauthorized access to your account
    • Log out of your account after each session, particularly on shared devices

    BuildMind is not liable for any loss or damage arising from your failure to maintain account security.

    3.3 Projects and Collaboration

    BuildMind allows users to create and manage construction projects. When you create a project, you become the Project Administrator ("Admin") for that project. As Admin, you have the authority to:

    • Invite other users to join your project as team members
    • Configure roles and access permissions for project members
    • Manage all project data, including data contributed by project members

    The ability to create a project requires an active paid subscription held by you (see Section 8). Invited collaborators and members of another user's workspace may participate in projects they are invited to, but cannot create their own projects.

    By joining a project created by another user, you acknowledge that:

    • The Project Administrator manages the project and its associated data
    • Data you contribute to a shared project (invoices, photos, documents, budget entries) becomes part of the shared project record
    • The Project Administrator and other authorized project members will have continued access to project data you contributed, even after you leave the project or delete your account
    • This is similar to how work product created during a professional engagement remains with the project

    The Project Administrator holds sole responsibility for correctly configuring and maintaining all role-based access permissions within their projects.

    3.4 Account Deletion

    You may delete your BuildMind account at any time through:

    • In-app: Settings > Account Management > Delete Account
    • Email: info@buildmind360.ai (provide account email and identity verification)

    Before deletion: If you own projects, or are the sole administrator of any project, you must first transfer administration of, or archive, those projects. This protects the continuity of work for other members of those projects.

    Account deletion is permanent and irreversible, and is separate from cancelling a subscription (see Section 8.4). Upon account deletion, BuildMind will:

    Permanently delete:

    • Your login credentials and password
    • Your personal profile information (name, email, contact details)
    • Your notification preferences and app settings
    • Your personal account data

    Retain as project records:

    • Data you contributed to shared projects (submitted invoices and receipts, cost entries, budget entries, documents, and audit history) remains part of the project record and is managed by the Project Administrator. This data is retained because (1) it constitutes shared project and audit records, not personal data; (2) other project members may depend on this data for ongoing work and for a complete, accurate project history; and (3) the Project Administrator requires this data for project management purposes.
    • Your name associated with project contributions may be anonymized (replaced with "Former Member") after account deletion.

    You acknowledge that: By contributing data to a shared project, you grant the Project Administrator and other authorized project members continued access to that data even after your account is deleted.

    4. Description of Services

    BuildMind provides a project management application designed for the construction industry. The core functionalities of the Services currently include:

    • AI-Powered Financial Tools: Automated data extraction, processing, and organization for project-related expenses, including invoices and receipts.
    • Budget & Cost Tracking: Tools for project budgeting and cost categorization, including a combined view of paid and committed (unpaid) costs.
    • Collaboration: Project-based team collaboration with role-based access controls.
    • Photo Documentation: Project photo capture and organization.

    BuildMind reserves the right to introduce new features, modify existing functionalities, or discontinue services as the platform evolves, provided that reasonable notice is given for material changes.

    5. Acceptable Use

    5.1 Permitted Use

    You may use the Services solely for your legitimate professional construction management activities, in accordance with these Terms and all applicable laws.

    5.2 Prohibited Conduct

    You agree not to:

    • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
    • Upload or transmit any content that is fraudulent, misleading, defamatory, obscene, or violates any third party's rights
    • Attempt to gain unauthorized access to any part of the Services, other users' accounts, or BuildMind's systems
    • Use the Services to store or process sensitive personal health information, payment card data, or government-issued identification numbers
    • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
    • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission from BuildMind
    • Use automated means (bots, scrapers, crawlers) to access or interact with the Services
    • Transmit malicious code, viruses, or any content designed to interrupt, destroy, or limit the functionality of the Services
    • Circumvent, disable, or interfere with security features of the Services
    • Impersonate any person or entity or misrepresent your affiliation with any person or entity

    5.3 Professional Use

    The Services are designed for professional use in the construction and real estate development industries. Use of the Services for personal, non-commercial purposes, or in industries outside the scope of construction and property development, is not permitted without prior written authorization from BuildMind.

    6. Your Content and Data

    The collection, use, and processing of your data are further governed by our Privacy Policy, which is incorporated into these Terms by reference.

    6.1 Ownership of Project Data

    Data contributed to a project is managed by the Project Administrator. The Project Administrator retains management authority over all project data, including data contributed by project members. BuildMind does not claim ownership of any user-contributed data.

    6.2 License to BuildMind

    By submitting data to the Services, you grant BuildMind a worldwide, royalty-free license to host, store, and use your content solely to provide and improve the Services. Specifically, you agree that BuildMind may use de-identified, aggregated, and anonymized data derived from your content to train and enhance our artificial intelligence models and analytics engines. BuildMind will not use your personally identifiable information or sensitive financial data for model training without your explicit consent.

    This use applies only to data that cannot be attributed to you or your projects.

    6.3 Accuracy of Your Data

    You are solely responsible for the accuracy, quality, and legality of the content you upload. You acknowledge that AI-generated suggestions are provided for informational purposes only and you are responsible for verifying all categorizations and data before final approval.

    7. Intellectual Property

    BuildMind and its licensors retain all right, title, and interest in and to the Services, including all intellectual property rights therein. This includes proprietary tools, algorithms, categorization systems, databases, and any AI-derived insights or recommendations.

    You are granted a limited, non-exclusive, non-transferable license to use the Services solely as permitted by these Terms. You may not modify, translate, adapt, or create derivative works based on the Services.

    8. Subscriptions, Fees and Payment

    8.1 Surfaces

    The App is free and contains no in-app payment mechanisms (Section 1.1). Paid subscription plans are offered separately through the Web Platform at buildmind360.ai and are governed by this Section 8.

    8.2 Subscription Plans and Billing

    Paid plans are tiered according to the number of concurrently active projects permitted. The plan name, the number of active projects included, and the applicable price are presented to you at checkout before you subscribe. Unless otherwise stated, all fees are quoted and charged in Canadian Dollars (CAD).

    You may choose a monthly or annual billing period. Your subscription automatically renews at the end of each billing period at the then-current price for your plan, until you cancel. By subscribing, you authorize BuildMind, through its payment processor, to charge the applicable fees to your selected payment method on each renewal date.

    8.3 Promotional Pricing

    From time to time we may offer promotional pricing (for example, a reduced first billing period). Where a promotion applies, the promotional price and the price that applies afterward are disclosed to you at checkout. Promotional offers are one-time, may be limited or withdrawn, and cannot be combined unless expressly stated.

    8.4 Cancellation

    You may cancel your subscription at any time from your account settings on the Web Platform.

    • Monthly plans: Cancellation takes effect at the end of your current billing period. Your plan remains active until then, and your access continues through the end of the period you have paid for. Monthly fees already paid are non-refundable.
    • What happens after your plan ends: When a subscription ends, the projects you created — and your team's access to those projects — become locked: retained but no longer readable until you resubscribe. We do not delete your data when you cancel. Resubscribing restores access. (Cancellation is different from account deletion under Section 3.4, which permanently removes your personal data.)

    8.5 Annual Plans and 14-Day Cooling-Off

    If you purchase an annual plan, you may request a refund within 14 days of the initial purchase. This 14-day cooling-off refund is not available once you have made substantial use of the paid Services. "Substantial use" means you have both (a) created at least one (1) project and (b) uploaded five (5) or more receipts or invoices through our AI extraction engine. After the 14-day period, or once substantial use has occurred (whichever is earlier), annual fees are non-refundable. Annual plans otherwise auto-renew and may be cancelled as described in Section 8.4, with cancellation taking effect at the end of the current annual period.

    8.6 Upgrades and Downgrades

    • Upgrades take effect immediately. You will be charged a prorated amount for the difference in plan price for the remainder of your current billing period.
    • Downgrades take effect at the start of your next billing period (for monthly plans) or upon renewal (for annual plans). You retain your current plan's capacity for the remainder of the period you have paid for, and downgrades are not refunded for the current period. If, after a downgrade, your number of active projects exceeds your new plan's limit, access to the excess projects may be limited (read-only or locked) after a short grace period.

    8.7 Price Changes

    If we change the price of your plan, we will provide at least 30 days' advance notice by email to your registered account address before the change takes effect. You may cancel before the new price applies. Continued use after the effective date constitutes acceptance of the new price.

    8.8 Taxes

    Quoted fees do not include GST/HST or other applicable taxes, which will be added where required. You are responsible for all taxes associated with your subscription, other than taxes on BuildMind's net income.

    BuildMind helps you keep receipts and cost records captured and audit-ready. BuildMind does not provide tax or accounting advice and does not guarantee any tax outcome; those matters are between you and your accountant.

    8.9 Payment Processor; No Card Storage by BuildMind

    Payments are processed by our third-party payment processor. BuildMind does not collect or store your full payment card number; that information is handled directly by the payment processor under applicable PCI DSS standards. See our Privacy Policy for the billing information BuildMind receives and retains.

    8.10 Chargebacks and Disputes

    If you believe you have been charged in error, please contact us at info@buildmind360.ai before initiating a chargeback. We may suspend or terminate access to the Services in connection with a chargeback or payment dispute pending resolution.

    8.11 Referral Program and Credits

    BuildMind may offer a referral program through which existing subscribers can earn account credit by referring new customers. The following terms govern the referral program. We may present additional program details to you at checkout, within your account, or by email.

    • Earning credit. When a new customer subscribes to a paid plan using your referral code, both you and the referred customer earn account credit. The amount is determined by the referred customer's billing period: CA$25 each if they subscribe on a monthly plan, or CA$50 each if they subscribe on an annual plan.
    • When credit is issued. Referral credit is not issued immediately. It is applied after the referred customer completes their second billing period while still subscribed, which confirms a genuine, retained referral.
    • Nature of credit. Referral credit is account credit applied toward a future invoice. It has no cash value, cannot be withdrawn or transferred, and is not redeemable for cash. If the referred subscription is cancelled or refunded within the applicable clawback period, the related credit is reversed for both the referrer and the referred customer.
    • Annual limit. The total referral credit a user can earn in a calendar year is capped at CA$250, counted across all referrals and regardless of whether the credit is earned as a referrer or as a referred customer. Credit is not issued beyond this cap.
    • Combinability. Referral credit cannot be combined with a first billing period promotion or a sales discount code; where more than one offer would otherwise apply, the earliest attributed offer governs. Referral credit may be applied to a subscription billed on an annual plan.
    • Eligibility and anti-abuse. Enterprise/Custom plans do not participate in the referral program. Self-referral is not permitted, and each new subscriber generates a reward only once. We use anti-abuse measures, which may include detecting duplicate or high-risk sign-ups by shared payment method, device, IP address, or email domain, and reviewing high-volume activity. BuildMind reserves the right to withhold or reverse credit, or to suspend a referral code, where it detects misuse or non-compliance with these Terms.
    • Changes to the program. BuildMind may modify, suspend, or discontinue the referral program at any time. Changes do not affect referral credit that has already been validly issued to your account.

    9. Confidentiality

    Each party agrees to maintain the confidentiality of any proprietary or sensitive information shared by the other party and to use such information solely for the purposes of providing or receiving the Services. This obligation does not apply to information that is publicly available or independently developed.

    10. Limitation of Warranty and Disclaimer

    10.1 Warranty Disclaimer

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BUILDMIND DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

    Without limiting the foregoing, BuildMind does not warrant that:

    • The Services will be available without interruption, error-free, or free of viruses or other harmful components
    • The results obtained from use of the Services (including AI-extracted data) will be accurate, reliable, or meet your requirements
    • Any errors or defects in the Services will be corrected within a specific timeframe

    BuildMind's AI features, including invoice OCR and data extraction, are provided as productivity tools and are not a substitute for professional accounting, legal, or financial advice. You are solely responsible for verifying AI-generated outputs before relying on them for business decisions.

    11. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUILDMIND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, CONSTRUCTION DELAYS, PROJECT SCHEDULE OVERRUNS, OR LABOR STANDBY COSTS (WHETHER ARISING FROM SYSTEM DOWNTIME, AI DATA EXTRACTION, OR OTHERWISE), EVEN IF BUILDMIND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    To the maximum extent permitted by law, BuildMind's total cumulative liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the greater of (a) the total fees you paid to BuildMind in the twelve (12) months preceding the event giving rise to the claim, or (b) CAD $100.

    Some jurisdictions, including certain Canadian provinces, do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations shall apply to the fullest extent permitted by applicable law.

    12. Indemnification

    You agree to indemnify, defend, and hold harmless BuildMind and its officers, directors, employees, affiliates, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

    • Your violation of these Terms
    • Your data, including any claim that your data infringes the rights of a third party
    • Your violation of any applicable law or regulation
    • Your use of the Services in a manner not authorized by these Terms

    13. Term and Termination

    13.1 Term

    These Terms are effective from the date you first access or use the Services and continue until terminated in accordance with this section.

    13.2 Termination by You

    You may cancel a subscription at any time as described in Section 8.4. You may terminate your account at any time by contacting us at info@buildmind360.ai, through account settings in the Services, or by requesting account deletion as specified in Section 3.4. Cancelling a subscription locks access to your projects (Section 8.4) but does not delete your data; deleting your account permanently removes your personal data (Section 3.4).

    13.3 Termination by BuildMind

    BuildMind may suspend or terminate your access to the Services at any time, with or without notice, if:

    • You violate these Terms
    • We reasonably believe your use of the Services poses a risk to other users, BuildMind, or third parties
    • Your payment fails or is disputed (see Section 8.10)
    • We are required to do so by law or governmental authority
    • We decide to discontinue the Services (with reasonable advance notice)

    13.4 Effect of Termination

    Upon termination, your right to access and use the Services immediately ceases. BuildMind will provide a 60-day data export window following termination during which you may request an export of your personal data. After this period, BuildMind will delete or anonymize your personal data in accordance with our Privacy Policy and applicable legal retention requirements.

    Project data you contributed to shared projects is handled in accordance with Section 3.4 (retained as project records managed by the Project Administrator).

    Sections 6 (Your Content and Data), 7 (Intellectual Property), 8 (in respect of fees accrued), 10 (Warranty Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and all other provisions that by their nature should survive, shall survive termination.

    14. Governing Law and Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada, excluding conflict of laws provisions and the United Nations Convention on Contracts for the International Sale of Goods.

    Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Province of British Columbia, Canada. You hereby consent to the personal jurisdiction of such courts.

    Before initiating formal legal proceedings, we encourage you to contact us at info@buildmind360.ai to attempt to resolve any dispute informally.

    15. Changes to These Terms

    BuildMind reserves the right to modify these Terms at any time. We will notify you of material changes by:

    • Posting the updated Terms on buildmind360.ai with a revised "Last Updated" date
    • Sending a notification within the Services or by email to the address associated with your account

    Material changes become effective 30 days after notification unless you object in writing. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Services and may terminate your account.

    For non-material changes (such as clarifications or corrections), BuildMind may implement changes immediately.

    16. General Provisions

    16.1 Entire Agreement

    These Terms, together with the Privacy Policy, constitute the entire agreement between you and BuildMind regarding the Services and supersede all prior agreements, representations, and understandings.

    16.2 Severability

    If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

    16.3 No Waiver

    BuildMind's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

    16.4 Assignment

    You may not assign or transfer your rights or obligations under these Terms without BuildMind's prior written consent. BuildMind may assign these Terms or any of its rights hereunder without restriction, including in connection with a merger, acquisition, or sale of assets.

    16.5 Language

    These Terms are written in English. The parties have requested that this Agreement and all notices be in the English language. Les parties ont demande que la presente entente et tous les avis soient rediges en langue anglaise.

    16.6 Force Majeure

    BuildMind shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, power failures, internet outages, pandemics, governmental actions, or third-party service provider failures.

    16.7 Independent Contractors

    The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, franchise, or employment relationship between you and BuildMind.
